Terms of service
The standard terms that apply to every engagement with Countwell. This is sample text for the template: replace it with terms reviewed by your own legal adviser.

About these terms
These terms apply to every engagement between you and Countwell Ltd (“we”, “us”). Your engagement letter sets out the specific services, fees and timelines agreed for your work. Where it differs from these terms, the engagement letter applies.

Our services
We provide accounting, tax, payroll and advisory services as described in your engagement letter. We rely on the information and records you give us, and we do not audit them unless we have agreed to do so in writing.

Fees and payment
Our fees are fixed and agreed in writing before any work begins. Invoices are payable within 14 days. If the scope of the work changes, we agree a revised fee with you before we carry out the additional work.

Your responsibilities
You are responsible for giving us complete and accurate records on time, and for reviewing and approving every return before we file it. Late or incomplete information can delay a filing or increase the fee.

Confidentiality and data
We keep your information confidential and process personal data in line with UK data protection law. Our privacy notice explains what we collect, why we collect it and how long we keep it.

Liability
Our liability for any loss arising from our work is limited to the amount set out in your engagement letter. Nothing in these terms limits any liability that cannot be limited by law.

Ending our engagement
Either of us may end the engagement with 30 days’ written notice. We complete any work in progress where we can, and hand over your records promptly.

Governing law
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute.
